TERMS AND CONDITIONS FOR PROFESSIONAL USE OF IMAGES
1- All footage is licensed on a non-exclusive basis for use in the Production named in this agreement and may not be re-licensed or re-used without the express written permission of the Licensor. The Licensor reserves the right to charge a premium license fee if the material is used outside of agreed rights and without prior notice.
2- When master material has been ordered, the Licensee will be liable for the Minimum Fee, regardless of whether or not any footage is used in the Production.
3- All invoices for License Fees and costs shall be paid within 30 days of invoice date. The License is not valid until it has been signed and returned to Moving Image Communications, together with Declaration of Usage and all invoices have been paid. If so required, the Licensee shall pay all License Fees and costs in advance.
4- Within 14 days of completion, the Licensee will supply a video cassette / DVD of the completed programme to Moving Image Communications together with a written Declaration of Usage.
5- The Licensee agrees to return all master material supplied within 30 days of the completion of the Production. If this is not done the Licensee will be liable for the full amount of master footage ordered at the agreed License Fee per second.
6- The Licensee or its agents shall be responsible for all courier, postage, handling and laboratory fees incurred.
7- Any clearances which may be necessary, other than the copyright of the footage provided by the Licensor, are the responsibility of the Licensee. All personality, music and commentary clearances must be obtained by the licensee, and all footage supplied by Moving Image Communications is supplied on that understanding.
8- The material must not be edited in any way likely to impair its quality, meaning or integrity, and must not be used in any programme in any manner which is likely to bring Moving Image and/or the suppliers into disrepute or which is defamatory of any person or organisation.
9- Supplied material is for use in the programme as described in the sales agreement only. The licensee undertakes not to use and/or make available for use any of this material in any other production whatsoever.
10- The Licensee agrees that where credits are given in the Production, it will credit the source of the footage as “Moving Image”.
11- A shot is defined as a continuous uncut sequence of footage used in the Production.
12- All bank charges and transactions must be at the expense of the client.
13- This agreement will be governed by the laws of England.
